Indemnification

You agree to indemnify, defend, and hold harmless Dog Breeder Licensing Center, its owners, operators, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Site; (b) any violation of these Terms; (c) any action taken or decision made by you based on information obtained from the Site; or (d) your violation of any applicable law or regulation.

Prohibited Uses

Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Informal Resolution First

Before initiating any formal dispute resolution, you agree to first attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute within 30 days. Most concerns can be resolved quickly through informal communication.

Binding Arbitration

If a dispute cannot be resolved informally within 30 days, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or, if applicable, its Consumer Arbitration Rules), rather than in court. The arbitration will be conducted in Michigan, or at your election, by telephone or videoconference.

You and Dog Breeder Licensing Center each waive the right to a jury trial and the right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and evidences a transaction in interstate commerce. The FAA governs the interpretation and enforcement of this arbitration provision, notwithstanding any choice of law provision in these Terms.

If any part of this arbitration agreement is found unenforceable, the remainder will continue in full force and effect.

Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under the section above, you consent to the exclusive jurisdiction of the state and federal courts located in Michigan.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Dog Breeder Licensing Center regarding your use of the Site. These Terms supersede any prior agreements or understandings, whether written or oral, relating to your use of the Site.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after any changes constitutes your acceptance of the new Terms. The effective date at the top of this page will reflect the date of the most recent update.
